IMPORTANT READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual person or a single legal entity, who will be referred to in this EULA as "you") and Palmer Performance Engineering, Inc. for the software technology that displays this EULA, including any associated media, printed materials and electronic documentation ("Software"). The Software also includes any software updates, add-on components, web services and/or supplements that the Licensor may provide to you or make available to you after the date you obtain your initial copy of the Software to the extent that such items are not accompanied by a separate license agreement or terms of use. By installing, copying, downloading, accessing or otherwise using the Software, You agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install, access or use the Software. If you do not agree to the terms of this EULA, Palmer Performance Engineering, Inc. is unwilling to license the Software. In such event, you may not install, copy, download or otherwise use the Software.
By using, copying, transmitting, distributing or installing the Software, you agree to all the terms of this License. If you do not agree to any of the terms of this License, do not use, copy, transmit, distribute, or install the Software.
The Software covered by this license agreement is not free software. Subject to the terms below, you are hereby licensed by Palmer Performance Engineering, Inc. to use this Software for testing and evaluation purposes only, without charge for a period of 30 days, starting from the day you install the Software. Unregistered use of the Software after the 30 day evaluation period is a violation of U.S. and international copyright laws.
A registered copy of the Software may be installed on computers used by one single person only, or it may be installed on one computer used non-simultaneously by several persons, but NOT both. This is NOT a concurrent use license. You may not install this copy of the Software for access through any network, without first obtaining a license for each computer that will access the Software over that network, regardless of whether they are accessing the Software concurrently or otherwise.
You are strictly prohibited from copying, transmitting, or distributing registered copies of the Software, including any registration codes and license keys. To do so would be a violation of U.S. and international copyright laws.
Palmer Performance Engineering, Inc. reserves the right at any time not to release the Software or, if released, to change prices, specifications, features, licensing terms, release dates, general availability, or other characteristics of the release without further notification to the user.
You may not use, copy, emulate, clone, rent, lease, sell, modify, decompile, disassemble, reverse engineer, or transfer the licensed program, or any subset of the licensed program, except as provided for in this agreement. Any such unauthorized use may result in criminal and/or civil prosecution.
This software, and all accompanying files, data and materials, are distributed "AS IS" and without warranties of any kind, whether expressed or implied, including but not limited to any warranty of merchantability or fitness for a particular purpose. Palmer Performance Engineering, Inc. assumes no risk if this Software does not function properly or operate error free. In no event shall Palmer Performance Engineering, Inc., or its principals, shareholders, officers, employees, affiliates, contractors, subsidiaries, or parent organizations, be liable for any claims or damages whatsoever, including property damage, personal injury, intellectual property infringement, loss of profits, or interruption of business, or for any special, consequential, incidental, or punitive damages, however caused, whether arising out of breach of warranty, contract, tort (including negligence), strict liability, or otherwise relating to the use of the Software, or your relationship with Palmer Performance Engineering, Inc.
This Agreement is governed by the laws of the United States. If any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severed from this Agreement and shall not affect the validity or enforceability of the remaining provisions of this Agreement. This Agreement is the complete statement of the agreement and supersedes any proposal or prior communications between Palmer Performance Engineering, Inc. and the user relating to the subject matter of this Agreement.
All rights of any kind in the Software which are not expressly granted in this License are entirely and exclusively reserved to and by Palmer Performance Engineering, Inc. You may not rent, lease, modify, translate, reverse engineer, decompile, disassemble or create derivative works based on the Software. You may not make access to the Software available to others in connection with a service bureau, application service provider, or similar business.
